Terms of Service
Please read these terms carefully before placing an order or using our services. By engaging with Ouma, you agree to be bound by the conditions outlined below.
Acceptance of Terms
These Terms of Service ("Terms") govern all business transactions, services, and interactions between Ouma Flexible Packaging ("Ouma," "we," "us," or "our") and any customer, buyer, or business entity ("you" or "Client") that places an order, requests a quotation, or otherwise engages with our products and services.
By submitting a purchase order, signing a sales contract, or otherwise engaging in business with Ouma, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must refrain from placing orders or using our services.
These Terms apply to all product categories offered by Ouma, including but not limited to stand-up pouches, flat pouches, rollstock films, kraft bags, flat-bottom bags, coffee bags, retort pouches, spout pouches, compostable pouches, and PE/PP recyclable pouches.
Orders & Quotations
All quotations provided by Ouma are valid for 30 days from the date of issue unless otherwise stated in writing. Prices quoted are subject to change based on fluctuations in raw material costs, currency exchange rates, or changes to the order specification.
A purchase order is considered confirmed only upon receipt of written acceptance from Ouma and payment of the required deposit. Verbal commitments or informal communications do not constitute binding orders.
Minimum order quantities (MOQ) apply as follows:
- Digital Print (HP Indigo): Minimum 1,000 pieces per SKU. Ideal for trial orders, multi-variant designs, and frequent design updates.
- Gravure Print: Minimum quantities apply and vary by product type. Please contact our sales team for specific MOQs.
- Stock Pouches: Available for immediate dispatch with no minimum order requirement for standard items.
Ouma reserves the right to decline any order at its sole discretion without obligation to provide a reason.
Custom Products & Artwork
For all custom-printed orders, the Client is responsible for providing print-ready artwork files in the formats specified by Ouma (typically AI, PDF, or EPS at a minimum of 300 DPI). Ouma will provide a dieline template upon order confirmation.
Ouma will prepare a digital proof for Client approval before proceeding to production. The Client must provide written approval of the proof within the agreed timeline. Production will not commence until written approval is received. Any delays in artwork approval may extend the production lead time accordingly.
Rapid Mock-up Service
Before committing to a full production run, we strongly recommend utilizing our in-house Mock-up Sample Service. Our dedicated team produces high-fidelity, handmade physical samples in just 1-3 business days, allowing you to validate dimensions, capacity, and visual design at a fraction of the cost of a digital print sample.
Once production has commenced following artwork approval, Ouma accepts no responsibility for errors, omissions, or color variations that were present in the approved artwork. Minor color deviations within industry-standard tolerances are not considered defects.
The Client warrants that all submitted artwork, logos, and brand assets are owned by or properly licensed to the Client, and that their use does not infringe any third-party intellectual property rights. Ouma shall not be held liable for any claims arising from Client-supplied content.
Payment Terms
Standard payment terms for custom orders are 50% deposit upon order confirmation and 50% balance prior to shipment. Alternative payment arrangements may be negotiated for long-term clients or high-volume accounts at Ouma's discretion.
All payments must be made in the currency specified on the invoice (typically USD). Bank transfer charges and any applicable transaction fees are the responsibility of the Client. Payment is considered received only when the full invoiced amount is credited to Ouma's designated account.
In the event of late payment, Ouma reserves the right to:
- Place a hold on the shipment until full payment is received.
- Charge interest on overdue balances at a rate of 1.5% per month.
- Suspend or terminate future order processing until outstanding amounts are settled.
Prices do not include applicable taxes, customs duties, or import levies, which remain the sole responsibility of the Client.
Production & Lead Times
Estimated production lead times are provided in good faith and are calculated from the date of deposit receipt and final artwork approval. Typical lead times are as follows:

Lead times are estimates only and are not guaranteed. Ouma will not be held liable for delays caused by circumstances beyond its reasonable control, including but not limited to raw material shortages, equipment failure, natural disasters, public health emergencies, or force majeure events.
For stock pouches with foil stamping customization, standard dispatch is within 3 business days for urgent orders, subject to stock availability.
Shipping & Delivery
Unless otherwise agreed in writing, all goods are shipped Ex-Works (EXW) from our facility in Nansha District, Guangzhou, China. Risk of loss or damage passes to the Client upon handover to the carrier or freight forwarder.
Ouma can assist in arranging freight forwarding services as a convenience to the Client; however, in such cases, Ouma acts solely as an agent and assumes no liability for transit delays, damage, loss, or customs clearance issues.
The Client is responsible for all import duties, taxes, customs clearance fees, and compliance with the import regulations of the destination country. Ouma will provide necessary documentation (commercial invoice, packing list, certificate of origin, etc.) to facilitate customs clearance.
Ouma is not responsible for delivery delays caused by the carrier, customs authorities, or any other third party once goods have been dispatched from our facility.
Quality Assurance & Claims
Ouma maintains a strict international quality control process and conducts inspections at key stages of production. All products are manufactured in accordance with the agreed specifications and applicable industry standards.
The Client must inspect all goods upon receipt. Any claims relating to quantity discrepancies, visible damage, or non-conformance with agreed specifications must be submitted in writing to Ouma within 7 calendar days of the delivery date, accompanied by photographic evidence and a detailed description of the issue.
Claims submitted after this period will not be accepted. Ouma's liability for accepted quality claims is limited to, at Ouma's sole discretion:
- Replacement of the defective goods in a subsequent production run.
- A credit note or partial refund proportional to the confirmed defective quantity.
Minor variations in color, dimensions (within ±3%), and print registration that fall within industry-accepted tolerances do not constitute defects and are not grounds for a claim.
Returns & Cancellations
Due to the custom nature of our products, returns are not accepted for custom-printed orders unless the goods are confirmed to be defective or non-conforming as described in Section 7.
Order cancellations must be requested in writing. Cancellation fees apply as follows:
- Before artwork approval: The deposit is refundable minus any administrative and tooling fees incurred.
- After artwork approval but before production: 30% of the total order value will be retained as a cancellation fee.
- After production has commenced: No refund will be issued. The Client remains liable for the full invoiced amount.
For stock pouch orders (non-customized), returns may be accepted within 14 days of delivery provided goods are unused, in original packaging, and in resalable condition. Return shipping costs are the Client's responsibility.
Intellectual Property
All intellectual property rights in designs, dieline templates, technical specifications, and production processes developed or owned by Ouma remain the exclusive property of Ouma. Nothing in these Terms transfers any Ouma intellectual property to the Client.
Artwork, logos, and brand assets submitted by the Client remain the property of the Client. By submitting such materials, the Client grants Ouma a limited, non-exclusive license to use said materials solely for the purpose of fulfilling the order.
Ouma may use photographs of completed products (without identifying Client brand information where requested) for marketing and portfolio purposes, unless the Client has expressly requested confidentiality in writing.
Limitation of Liability
To the maximum extent permitted by applicable law, Ouma's total liability to the Client arising out of or in connection with any order or these Terms shall not exceed the total amount paid by the Client for the specific order giving rise to the claim.
Ouma shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of business opportunity, or market losses, even if Ouma has been advised of the possibility of such damages.
Ouma's products are intended for use as packaging materials only. The Client is solely responsible for ensuring that the selected packaging is suitable for its intended use, contents, and compliance with all applicable regulations in the destination market.
Confidentiality
Both parties agree to keep confidential any proprietary information, trade secrets, pricing, technical data, and business information disclosed during the course of their commercial relationship ("Confidential Information").
Neither party shall disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law or regulation. This obligation shall survive the termination of any order or business relationship for a period of three (3) years.
Upon request, each party shall promptly return or destroy all Confidential Information belonging to the other party.
Governing Law & Dispute Resolution
These Terms and all transactions between Ouma and the Client shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may submit the dispute to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with proceedings conducted in Guangzhou, China.
The arbitration award shall be final and binding upon both parties. Nothing herein prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
